1. Access

A DEF 14 subscription includes access to the DEF 14 MCP through compatible AI assistants and direct access to the full DEF 14 platform. Available data is determined by the customer’s subscription and entitlements.

MCP access is not offered as a public API or as a standalone free service. Each person using the service must have an active, assigned DEF 14 seat. Accounts and access credentials may not be shared.

Organizations interested in evaluating the service can request an MCP trial.

2. Data coverage

The DEF 14 MCP provides access to specialist-built shareholder activism data, including:

  • Activist campaigns and campaign lifecycles
  • Activists and related investment vehicles
  • Target companies and ownership context
  • Campaign objectives, developments and outcomes
  • Performance analysis, settlements and board changes
  • References and links to relevant public source materials, where available

Public source materials may include regulatory filings, agreements, company announcements, activist communications and other campaign-related documents. A reference or link does not necessarily mean that DEF 14 hosts or stores a copy of the underlying document.

Coverage varies by company, campaign, market, period and source availability.

3. Compatible AI assistants

The DEF 14 MCP is compatible with:

Available features and connection methods depend on the capabilities and policies of the chosen client. Client providers may change their MCP support independently of DEF 14.

  • Continue working with the data in the full DEF 14 platform

The quality of an assistant’s response may also depend on the client, model, prompt and context used.

5. Example questions

  • Build a dated timeline of the campaign at [company], from the activist’s first public action through the latest recorded development. Include objectives, board demands, settlement terms, outcomes and supporting public sources where available.
  • Which campaigns launched since [year] involved demands for board representation? Return the activist, target, initial demand, seats sought, seats obtained and campaign outcome.
  • Compare [activist A] and [activist B] across campaign volume, common objectives, settlement frequency, board seats obtained and available performance measures over [period].
  • Show the campaigns in which [activist] sought a sale, strategic review or other transaction. What happened in each case, and how long did each campaign take to reach an outcome?
  • Identify campaigns at [company] and its closest peers during [period]. Compare the issues raised, activist ownership, company responses and recorded outcomes.
  • Which activists have targeted companies in [sector or market] more than once since [year]? Summarize their recurring objectives, investment vehicles and outcomes.
  • For [campaign], distinguish the activist’s stated objectives from the outcomes ultimately recorded. Cite the relevant public sources for each material event.
  • What ownership context is available for [company] around the start of the campaign? Identify the activist’s reported position, related investment vehicles and subsequent disclosed changes where available.
  • Find campaigns comparable to [campaign] by objective, market capitalization, geography or outcome, and explain the basis for each comparison.
  • Which campaigns during [period] ended in a settlement? Summarize the announced terms, board changes, standstill provisions and later developments where available.

For more reliable results, specify the company, activist, jurisdiction or time period where possible. Ask the assistant to include dates and supporting sources when those details matter.

6. Operating model

Read-only access

The DEF 14 MCP retrieves data and source references. It does not trade securities, submit filings, contact companies or activists, modify DEF 14 records, or take actions on a user’s behalf.

Source references

Responses are designed to preserve relevant dates, entity relationships and links or references to supporting public records where available.

Some source materials are hosted by third parties. Availability may depend on the original publisher, and external links may change or become unavailable. Users should review the underlying source before relying on an AI-generated summary.

Data availability

Not every field or source is available for every company or campaign. Historical coverage, calculated measures and source availability may differ across markets and periods. DEF 14 may correct, expand or update its data as new information becomes available.

7. Requirements

To use the DEF 14 MCP, you need:

  • An active DEF 14 subscription purchased directly from DEF 14
  • An assigned user seat
  • A compatible AI assistant or MCP client
  • Permission from your organization to connect external data services, where applicable

Support for remote MCP services differs by client and may change over time. DEF 14 can confirm current compatibility during onboarding.

9. Responsible use

Use of the DEF 14 MCP is subject to the applicable customer agreement, DEF 14 terms and any restrictions attached to underlying source materials.

Unless expressly agreed otherwise, users must not:

  • Share accounts, credentials or access tokens
  • Provide access to people without an assigned seat
  • Circumvent authentication, entitlements or usage controls
  • Systematically extract or reproduce the DEF 14 database
  • Redistribute, resell or sublicense DEF 14 data
  • Misrepresent generated text as a primary source
  • Use the service in violation of applicable law or third-party rights

DEF 14 provides data and access to references or links for certain public source materials. The service does not provide legal, tax or investment advice and does not make investment recommendations.

Information produced by an AI assistant may be incomplete, incorrectly summarized or presented without material context. Users remain responsible for reviewing the underlying sources, applying professional judgment and independently verifying information before relying on it.

11. Pricing

DEF 14 MCP and platform access are included in one subscription.

$10,680 per seat per year

Multi-seat discounts of up to 40% may apply depending on seat count.

Final pricing, coverage, terms and entitlements are confirmed in the applicable customer agreement.

12. Frequently asked questions

Is the DEF 14 MCP publicly accessible?

No. This documentation is public, but use of the MCP requires an active subscription purchased directly from DEF 14 and an assigned user seat.

Is MCP access included with the DEF 14 platform?

Yes. One subscription includes eligible MCP access and direct access to the DEF 14 platform, subject to the customer’s agreement and entitlements.

Can I purchase DEF 14 access through an AI assistant provider?

No. DEF 14 MCP access is provided directly by DEF 14. A subscription or account with an AI assistant provider does not include a DEF 14 subscription.

Which AI assistants are compatible?

The DEF 14 MCP is compatible with ChatGPT, Claude, Microsoft Copilot and many other AI assistants and applications that support compatible remote MCP connections. Specific capabilities and setup requirements vary by client.

Is the MCP read-only?

Yes. It retrieves DEF 14 data and available source references. It does not modify DEF 14 records or perform external actions for the user.

Does the MCP expose all DEF 14 data?

Access depends on the customer’s subscription, entitlements and data availability. Some content or functionality may be available only through the DEF 14 platform.

What happens when a subscription ends?

Access to the DEF 14 MCP and platform ends in accordance with the customer agreement. Previously generated material remains subject to the applicable contractual and usage restrictions.
